Fred Zemel practices in the Firm’s Commercial Real Estate & Business Law Group and is a member of its Intellectual Property and Health Care and Hospital Law practice. Mr. Zemel specializes in the areas of corporate law, business law, commercial transactions, commercial financing, real estate development, securities, and intellectual property and technology.
Mr. Zemel has substantial, national experience in all facets of general corporate, commercial finance, real estate development, and securities practice, including drafting and negotiating asset and stock purchase agreements, real estate development agreements, operating agreements, prospectuses for public and private offerings, stockholder agreements and corporate organizational documents. Currently, Mr. Zemel serves as primary outside counsel to a large national bank’s credit card division, where he is responsible for the preparation and negotiation of commercial card contracts in connection with a Fortune 500 customer base.
Mr. Zemel’s practice also encompasses intellectual property and technology, where his primary focus is on the drafting and negotiation of intellectual property and technology contracts. Representative contracts include Software and Hardware Licensing Agreements; Hardware, Software and Web Site Development Agreements; ASP, OEM, VAR, E-Commerce, and Teaming Agreements; Technology Consulting/Services Agreements; Manufacturing Agreements; and web site Terms of Use and Privacy Policies. In addition, he advises clients regarding privacy issues, and reviews client agreements with respect to privacy.
